Chelsea is a Senior Associate in the corporate and commercial team at QR Lawyers.

She brings over five years of industry experience, having joined QR Lawyers in 2021. Chelsea completed her Bachelor of Laws (Honours) at Deakin University in 2017 and was admitted as a legal practitioner in November 2018.

With a diverse background working across a range of small businesses and ASX listed company matters, she thrives in helping her clients navigate the complexities of corporate governance and commercial transactions.

While she finds fulfillment in a variety of legal tasks, she particularly enjoys the challenges and rewards of assisting businesses through the process of business sales. Some of the recent clients she has worked with at QR span diverse industries, including real estate, mining and life sciences and technology, the latter being a field she finds particularly interesting.

Experience

Chelsea’s recent work has included:

• Drafting and advising on a wide range of commercial documents, from licencing agreements, distribution agreements, intellectual property protection, shareholders agreements, business and asset sale and purchase agreements, privacy policies, terms and conditions, services agreements, employment agreements, and commercial leases;
• Advising clients on the operation of the PPSR in connection with their transaction, and preparing and providing advice on security documents;
• Providing timely and commercial advice directly to executives on ad hoc queries, including regarding director duties, director independence, transaction risk profiles, compliance with the Corporations Act 2001 (Cth) and other relevant legislation;
• Assisting ASX listed clients with a range of compliance matters, including preparation of notice of meeting, assistance with a range of capital raises, Listing Rule compliance advice, corporate governance;
• Assisting with IPOs and RTOs, including assisting with preparation of compliant offer documents and completion of due diligence; and
• Assisting with a range of both private and public capital raisings.

Beyond the Resume

Outside of work, Chelsea enjoys leading an active and outdoorsy lifestyle, with a love for pilates and horses, having a retired, much loved ex-racehorse. When not outdoors, she’s drinking copious amounts of coffee and hanging out with her cat. Alongside her fluency in English and Legalese (of course), she can surprise you with a bit of (rusty!) German.
